Terms of Service

These terms are the agreement between you and MalcolmCC for using our caption service. Please read them — by creating an account or using the service, you agree to them.

1. Acceptance of these terms

MalcolmCC (the “Service”) is operated by Futuretek LLC, an Oregon limited liability company doing business as MalcolmCC (“MalcolmCC”, “we”, “us”, “our”). By accessing or using the Service, you agree to be bound by these Terms of Service (the “Terms”) and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service

MalcolmCC lets you generate, edit, and export captions and transcripts from audio, video, and scripts you provide. We may add, change, or remove features over time. We aim for accurate captions but do not guarantee that any transcript or caption is error-free; you are responsible for reviewing outputs before you rely on them.

3. Accounts and eligibility

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. You agree to provide accurate account information, to keep your credentials confidential, and to be responsible for all activity under your account. Notify us promptly at support@malcolmcc.com of any unauthorized use.

4. Plans, billing, and refunds

• Free minutes. New accounts include a limited amount of free introductory transcription minutes so you can try the Service. Once those are used, continued transcription requires a paid plan or pay-as-you-go balance.
• Paid plans. Current plans, prices, and included minutes are shown on our pricing page, which forms part of these Terms. Pay-as-you-go charges are billed for usage; subscription plans are billed in advance on a recurring basis and renew automatically until cancelled.
• Payment. Payments are processed by Stripe. You authorize us and Stripe to charge your chosen payment method for amounts you incur, including recurring subscription fees. You are responsible for any applicable taxes.
• Cancellation. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. We do not provide prorated refunds for partial periods except where required by law.
• Refunds. Charges are generally non-refundable. If you believe you were charged in error, contact support@malcolmcc.com and we will review it in good faith.
• Price changes. We may change prices; changes to recurring fees take effect at your next renewal, and we will give reasonable advance notice.

5. Your content and ownership

You retain all ownership of the media, scripts, transcripts, and captions you upload or create with the Service (“Your Content”). You grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Content solely to operate and provide the Service to you. We do not use Your Content to train machine-learning models. You represent and warrant that you own or have the necessary rights to Your Content and that it does not infringe or violate the rights of any third party.

6. Acceptable use

You agree not to use the Service to:

• Upload or process content you do not have the right to use, or that infringes intellectual-property, privacy, or other rights.
• Upload unlawful, defamatory, harassing, or otherwise objectionable content, or content that violates any applicable law.
• Attempt to gain unauthorized access to the Service, disrupt it, or circumvent usage limits, security, or billing.
• Reverse-engineer, resell, or use the Service to build a competing product, except as permitted by law.
• Use the Service in any way that imposes an unreasonable load on our infrastructure or that harms other users.

We may remove content or suspend accounts that violate these Terms.

7. Intellectual property

The Service, including its software, design, and branding (excluding Your Content), is owned by MalcolmCC and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not grant you any rights in our trademarks or other intellectual property.

8. Third-party services

The Service relies on third-party providers (for example, Stripe for payments and Cloudflare for storage). Your use of those features may be subject to the providers’ own terms, and we are not responsible for their acts or omissions.

9. Availability and “as is” Service

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, error-free, or that any specific uptime or turnaround will be met unless expressly agreed in writing. The Service is provided “as is” and “as available.”

10. Disclaimer of warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or completeness of transcripts or captions. You use the Service and rely on its outputs at your own risk.

11. Limitation of liability

To the fullest extent permitted by law, MalcolmCC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or USD 100.

12. Indemnification

You agree to indemnify and hold harmless MalcolmCC from any claims, damages, or expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. On termination, your right to use the Service ends and we may delete Your Content in accordance with our Privacy Policy. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive termination.

14. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Oregon, and you consent to their personal jurisdiction and venue, except where applicable law gives you the right to bring a claim elsewhere.
